EFIS 13, March 2013 : Limited Liability Partnership

The Companies Act 2006 (Amendment of Part 25) Regulations 2013 will replace Part 25 of the Companies Act 2006 on 6th April 2013.

In particular, the Limited Liability Partnerships (Application of Companies Act 2006) (Amendment) Regulations 2013 require Companies House to amend its range of legal charge forms for limited liability partnerships and repeal and replace Part 9 of the Limited Liability Partnerships (Application of Companies Act 2006) Regulations 2009.

The purpose of these Regulations is to create one scheme for the registration, satisfaction and alteration of a limited liability partnerships charges irrespective of the place of incorporation.

Companies House has designed new forms LLMR01-LLMR10 for limited liability partnerships which will replace the existing forms LLMG01-LLMG09 in England and Wales and also the Scottish forms LLMG01s-LLMG08s for any charges created over a limited liability partnerships property on or after 6th April.

Companies House has also drafted new forms LLRM01 and LLRM02 which replace the existing forms LLLQ01 and LLLQ02 on or after 6th April.

The existing LLMG01-LLMG09 and LLMG01s-LLMG08s forms should continue to be used in all cases where the charge was created before 6th April 2013.

Subscribers to this range should .only use these new forms for charges created on or after 6th April.
